1. Who we are

V-Node ("V-Node", "we", "us", "our") is operated by [COMPANY LEGAL NAME, e.g. "V-Node SRL"], a company registered in the Republic of Moldova under IDNO [IDNO NUMBER], with its registered office at [LEGAL ADDRESS, MOLDOVA] ("Company"). The Company's registered activities include, among others, the following CAEN classifier codes:

• 62.01 — Computer programming activities (software development and configuration)
• 62.03 — Computer facilities management activities (server administration and hosting services)
• 62.09 — Other information technology and computer service activities
• 63.11 — Data processing, hosting and related activities

These Terms of Use ("Terms") govern access to and use of the website v-node.pro (the "Site") and the virtual private server hosting, storage and related services offered through it (collectively, the "Services").

2. Acceptance of these Terms

By creating an account, ordering a Service, or otherwise using the Site, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you must not use the Services. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity.

3. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, and have the legal capacity to enter into a binding contract, to register an account or purchase Services. You are responsible for ensuring your use of the Services complies with the laws applicable to you.

4. Description of Services

V-Node provides, subject to availability and applicable plan limits:

• KVM-based virtual private servers ("VPS"), with full root/administrator access, deployed on third-party data centre infrastructure;
• Cloud Storage Box services accessible via SFTP, FTP, Samba and WebDAV;
• Ancillary features such as VM snapshots, cloud-init provisioning, OS templates, firewall management, and a client control panel.

Services are billed on a pay-as-you-go, prepaid basis. Specifications, pricing and features of each plan are as described on the Site at the time of order and may change for future billing periods with reasonable prior notice.

5. Account Registration and Security

• You must provide accurate, current and complete information when registering and keep it up to date.
• You are responsible for maintaining the confidentiality of your login credentials and API keys, and for all activity that occurs under your account.
• You must notify us promptly at [SUPPORT EMAIL] if you suspect unauthorised access to your account.
• We may suspend an account where we reasonably suspect fraudulent, unauthorised, or unlawful use.

6. Billing, Balance and Payments

• Prepaid balance. Services are charged hourly against a prepaid account balance. When your balance reaches zero, running VMs may be automatically stopped and, following the retention period stated in your control panel, may be archived or deleted.
• Payment methods. Balance top-ups are processed through third-party payment providers, including card payments via Stripe and cryptocurrency payments via NowPayments. We do not store full card numbers or wallet private keys; payment data is handled directly by these processors under their own terms.
• Auto top-up. If you enable automatic top-up, you authorise us to charge your saved payment method when your balance falls below the threshold you configure.
• Taxes. Prices are exclusive of applicable taxes unless stated otherwise; any taxes due are your responsibility unless we are required by law to collect them.
• Refunds. Unused prepaid balance is [refundable / non-refundable — confirm policy], except where required otherwise by mandatory consumer-protection law.

7. Acceptable Use Policy

You must not use the Services to:

• send unsolicited bulk communications ("spam") or engage in phishing;
• launch or facilitate denial-of-service attacks, port scanning, or unauthorised intrusion attempts against third-party systems;
• distribute malware, ransomware, or other malicious code;
• host, store or distribute content that is illegal under Moldovan or applicable international law, including child sexual abuse material, content infringing third-party intellectual property rights, or content that promotes terrorism or violence;
• circumvent resource limits in a way that degrades service for other customers;
• engage in cryptocurrency mining or other resource-intensive activity not permitted by your plan.

We may investigate suspected violations and take action including content removal, suspension, or termination, with or without prior notice, depending on severity.

8. Customer Data and Content

You retain all rights to the data, applications and content you store or run on your VPS ("Customer Content"). You are solely responsible for its legality, backup, and security. While we may offer snapshot or backup features, you remain responsible for maintaining independent backups of critical data. We do not access Customer Content except as necessary to provide the Services, to respond to abuse reports, or as required by law.

9. Service Availability

We aim to provide high availability infrastructure, but the Services are provided "as is" and "as available." Scheduled maintenance, third-party infrastructure incidents (including at our upstream data centre provider), or force majeure events may cause interruptions. Any specific uptime commitment applicable to your plan will be set out separately in your order confirmation or a service level agreement, if offered.

10. Suspension and Termination

• You may cancel your account and stop or delete your VMs at any time from the control panel.
• We may suspend or terminate Services immediately for breach of these Terms, non-payment, suspected fraud, or unlawful use, or on reasonable notice for other reasons (e.g. discontinuation of a service line).
• Upon termination, Customer Content may be deleted after the retention period stated at the time; you are responsible for exporting any data you wish to keep beforehand.

11. Third-Party Infrastructure and Services

The Services rely on third-party infrastructure providers for data centre capacity (including servers located outside Moldova) and on third-party payment processors (Stripe, NowPayments) and communication providers for transactional email. Your use of the Services is also subject to the acceptable use requirements of these providers where applicable.

12. Intellectual Property

The Site, its design, logos, and underlying software (excluding Customer Content and open-source components) are owned by the Company or its licensors and are protected by applicable intellectual property laws. You may not copy, modify, or reverse-engineer the Site or control panel except as permitted by law.

13. Limitation of Liability

To the maximum extent permitted by applicable law, the Company shall not be liable for indirect, incidental, special, or consequential damages, or for loss of data, profits, or business, arising from your use of the Services. Our aggregate liability for any claim relating to the Services is limited to the amount you paid us for the Service giving rise to the claim in the three (3) months preceding the event. Nothing in these Terms limits liability that cannot be excluded under mandatory law, including liability for gross negligence or wilful misconduct.

14. Indemnification

You agree to indemnify and hold the Company harmless from claims, damages, and expenses (including reasonable legal fees) arising from your breach of these Terms, your Customer Content, or your unlawful use of the Services.

15. Changes to the Services or these Terms

We may update these Terms from time to time. Material changes will be notified via the Site or by e-mail to the address on your account at least [NOTICE PERIOD, e.g. 15 days] before taking effect. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

16. Governing Law and Disputes

These Terms are governed by the laws of the Republic of Moldova, without regard to conflict-of-law principles. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the competent courts of [CITY, e.g. Chișinău], Republic of Moldova, unless mandatory consumer-protection rules of your country of residence provide otherwise.
